If you are doing business in Spain and already have a corporation in another country, you may want to register the Spanish business as a branch. A branch is legally defined as a secondary establishment to which it has been granted certain management autonomy and permanent representation, which fully or partially develops the activities of its parent company.
The branches are establishments of a fixed nature, created by a non-resident parent company in order to carry out their economic activities in Spanish territory. They lack legal personality, unlike subsidiaries, and are subordinated to their parent company. Therefore, a branch does not constitute an independent and separate entity, but a mere extension of its parent company in Spanish territory.
WORKING IN SPAIN

We will be on charge of drafting and preparation of the Establishment of Limit Liability Company Deed, according to the Spanish legislation and as commensurate with needs of the partners.
Managements and assistance (if necessary) for the opening of the Company’s Bank account, and obtainment of the deposit certificate with the initial founding capital. (Minimum is 3.000 EUR).
Assistance on the Client’s representation to the execution of the Establishment of Limit Liability Company Deed before a Spanish Public Notary. Then you can save your money and time.
We will be on charge of filling all applications, submitting and presenting all documents necessaries for the obtainment of the provisional and definitive N.I.F. (Número de Identificación Fiscal).
We will be the responsible of incorporating and registering your company before the Commercial Registry Office (anywhere in Spain), by the presentation of the Deed and proper documentation.
Drafting and presentation of the Declaration of foreign investment in unlisted companies, branches and other forms of investment Document as per required for any foreign investment.
WORKING IN YOUR COUNTRY
We will be in charge of drafting and preparing the Certificate with the agreement taken by the Shareholders meeting to establish a Company in Spain.
We will manage the obtainment of the Good Standing document from the Commercial Registry of the place of origin stating the Company’s data.
We will coordinate the legalization and translation of the Good Standing and the Certificate agreement, along with the Articles of Association.
Prepare and present the necessary documents to obtain the tax identification number, which would require obtaining a Good Standing from the Companies Registry from the country of origin.
